Terms of Service

These Terms of Service ("Terms") govern your access to and use of the ultiplay.net website, the Ultiplay desktop application, and any related services we offer (collectively, the "Services"). By accessing the Services you agree to these Terms and to the EULA, Privacy Policy, and Acceptable Use Policy, each of which is incorporated by reference.

1. Eligibility

You must be at least 13 years old (or the minimum age required in your jurisdiction) to use the Services. If you are under the age of legal majority where you live, you represent that a parent or legal guardian has reviewed and agreed to these Terms on your behalf. Some Service features may have a higher age requirement disclosed at the point of access.

2. Accounts

The Software does not require an account. If we offer optional accounts in the future, you agree to provide accurate information and to keep your credentials confidential. You are responsible for activity under your account.

3. Purchases

Gold-tier purchases are processed through our payment processor, Stripe, Inc., on a one-time basis (lifetime license for the purchased major version) unless otherwise stated at checkout. All sales are final except as set forth in the Refund Policy. Prices are listed in U.S. dollars unless otherwise indicated and are exclusive of any applicable taxes, which you are responsible for paying. If a price is displayed incorrectly due to a typographical or technical error, Ultiplay LLC reserves the right to cancel the order and refund any amount charged.

4. Modifications to the Services

We may add, remove, or modify Service features at any time without notice. We will not retroactively remove material features that you paid for in your purchased major version, except where required by law or for security reasons.

5. Suspension and termination

We may suspend or terminate your access to all or part of the Services, including revoking a Gold license, if we reasonably believe you have violated these Terms, the EULA, or the Acceptable Use Policy, or if your use poses a risk to us, other users, or third parties. You may stop using the Services at any time.

6. Disclaimer of warranties

The Services are provided "as is" and "as available," without warranty of any kind, express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. ULTIPLAY LLC does not warrant that the Services will be uninterrupted, error-free, secure, or compatible with any particular hardware, operating system, or third-party service. The entire risk as to quality and performance of the Services is with you.

Some jurisdictions do not allow the exclusion of certain warranties; in such jurisdictions the foregoing exclusions apply only to the extent permitted by law.

7. Limitation of liability

To the maximum extent permitted by applicable law, in no event will ULTIPLAY LLC, its licensors, or its suppliers be liable for any indirect, incidental, special, exemplary, punitive, or consequential damages, or for any loss of profits, revenue, data, use, goodwill, or other intangible losses, arising out of or related to these Terms or the Services, even if advised of the possibility of such damages.

ULTIPLAY LLC's total cumulative liability arising out of or related to these Terms will not exceed the greater of (a) the amount you paid Ultiplay for your license in the twelve (12) months preceding the event giving rise to the claim, or (b) twenty U.S. dollars (US $20.00).

These limitations apply even if any limited remedy fails of its essential purpose. Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages; in such jurisdictions the foregoing limitations apply only to the extent permitted by law.

8. Beta features

We may offer beta, preview, or "early access" features. Beta features are provided AS IS, may be unstable, may be modified or discontinued at any time, and are excluded from any service-level commitments.

9. Force majeure

We are not liable for any failure or delay in performance caused by events beyond our reasonable control, including natural disasters, war, terrorism, civil unrest, government action, internet or hosting-provider outages, payment-processor outages, or pandemics.

10. No waiver; severability

Our failure to enforce any provision is not a waiver. If any provision is held unenforceable, the remaining provisions remain in effect and the unenforceable provision will be enforced to the maximum extent permitted by law.

11. Assignment

You may not assign these Terms without our prior written consent. We may assign them to an affiliate or in connection with a merger, acquisition, financing, or sale of assets of Ultiplay LLC.

12. Governing law & dispute resolution

These Terms and all matters arising out of or relating to the Services are governed by, and will be construed in accordance with, the laws of the State of Colorado and the federal laws of the United States, without regard to conflict-of-law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Any dispute, claim, or controversy arising out of or relating to these Terms or the Services will be resolved exclusively in the state or federal courts located in Arapahoe County, Colorado, or the U.S. District Court for the District of Colorado, and each party irrevocably submits to the exclusive jurisdiction of those courts. Each party waives any objection to venue in those courts based on inconvenient forum.

To the extent permitted by law, each party waives any right to a trial by jury in any action or proceeding arising out of or relating to these Terms.

Nothing in this Section limits a party's right to seek injunctive or other equitable relief in any court of competent jurisdiction to protect intellectual-property or confidentiality rights.
